The existing Windows 32 bit install will work on a Siebel Server running on a 64bit windows OS.
1. Yes, as Frank suggested not only OPA but also Siebel not supported 64 bits IE browser as well.

Windows 64-bit versions
Oracle does not offer any Siebel 64-bit clients. However, Siebel 32-bit 8.x clients (Developer, Mobile/Remote and Siebel Tools) are supported on 64-bit Windows XP, Vista and Windows 7 - for version details, check the section "Client Environments Supported" above.
2. Also I will add here when you running Siebel Tools under Windows 2008 Siebel not supported Windows 2008 OS for Tools.
It is work but better to use another windows OS due to possibility behaviour you will face.
