When upgrading database from 10.2.0.1.0 to 10.2.0.4.0 , i am getting following error

You should backup OraInventory as it contains following information
1) Its purpose is for Oracle installer/patcher to know what products you have already installed in which versions
2) The list of all products installed with the versions/patches/home directory/home name
3) It is necessary to OUI/opatch to install/deinstall components/versions/patches
4) Deletion of OraInventory does not impact databases but you'll be no more able to install/deinstall/pacth Oracle components.
Also, As Srini said, you should be really looking to upgrade to 11g. If not then you shoudbe upgrading to 10.2.0.5. Is there a specific resaon you are upgrading to 10.2.0.4?
