emdwgrd utility in 11gR2 upgrade

Has anybody else had this problem?
Running 10.2.0.3 (64-bit) on Solaris.  The database is smallish and used as the repository for RMAN backups on other systems.  There are three Oracle Homes installed:
  • 10.2.0
  • agent10g
  • 11.2.0
Following the upgrade guide (Oracle® Database Upgrade Guide 11 g Release 2 (11.2) , Part Number E10819-02) in Chapter 3 on the section entitled "Save Oracle Enterprise Manager Database Control Data" -- when I execute the emdwgrd utility, I receive the following error:
Fri Dec 11 10:15:41 2009 - Verify EM DB Control files ... cannot find emd.properties ... failed
Error:  DB Control location not found.
The emd.properties file can be found at /Web/ORACLE/bin/app/oracle10/product/agent10g/sysman/config/ and also in the 11.2.0 home.

Howdy, Stranger!
