Oracle 10g to 11g upgrade

 Hi I'm trying to upgrade my database from 10.2.0.4 to 11gr2.  I am using dbua
On step 5 of 6 of the dbua upgrade screens I am prompted for the dbnsmp password.  Is this the pwd for the existing database being upgraded or the passwd for the Grid control dbnsmp user?  ( I am not using grid control)


AFter the upgrade starts, it bombs out at "Performing PreUpgrade"
Error message is ora-01034: Oracle not available.

Can anyone offer any advice?
