Going from 9.2.0.8 to 11.1.0.7 Regarding Oracle Inventory

I have a question regarding installing 11.1.0.6 database software upgrading from 9.2.0.8. I know I need to create a new ORACLE_HOME c:\app\oracle\product\11.1.0\db_1.

When this is done what happens to the Oracle Inventory? Do I need to modify the oraInst.loc orainventory location before installing the new database software?
