Request for info on oracle and windows server memory usage

Hi,

Can someone please clarify my doubt regarding Windows and Oracle memory usage.

Our server has 12GB RAM. Since Windows 32bit servers can utilize only 4GB RAM, we would like to install 64bit OS inorder to utilize full memory.

Therefore i have installed Oracle 10.2.0.3(64 bit) on windows 2008 R2  standard (64 bit).

Is it sufficient if i only install 64bit OS to utilize memory or do i need to install both OS and Oracle as 64 bit.

Our database size is approx 110GB. How much Memory(approx) should i allocate to Oracle in the beginning. Can i allocate memory for Oracle more than 4GB or it will be a waste of memory.
