PAY: Creating a New Legal Entity for Payroll

One of our department is going to become a totally different business entity.  They want to continue using our EBS to run payroll for them. However, they will not use our financial modules. Can someone give me an idea how they should be setup? Our current system only have one business entity, and this departement is currently under the same group. What wil it take to seperate them and still run payroll for them?
