Query on Data only Upgrade from E810 to E900

Hi we are doing a upgrade from E810 to E900 (AIX/DB2 platform).   Currently E900 is already been installed as a separate instance of JDE  and running with demo data (Business data has not been converted) with pathcodes like PS900, DV900, PY900, US900 and PD900.   Next step, we are planing to define a data only upgrade plan and run table conversion for Business data. I have some query regarding data only upgrade

Q1. As I understand we can do a data only upgrade in  different way  In-place and not-in-place.  Which One is recommended ? What are the pro and cons of in-place plan.
