Enterprise Manager install failed

I just installed 11.2.0.1 on a 64-bit Win 2008 R2 and created an empty db.  I got 2 problems. Please help.

#1.  I haven't been able to create the Enterprise Manager via Database Configuration Assistant.  I tried several times, kept failing with the following error message:  Error uploading configuration data to the repository.  Refer to the log file at ....
Please see to the attached screenshot.

#2.  The Listener is up / running but I can't connect from the client to the db.  My client is 32-bit XP Pro and I use SQL*Plus: Release 8.0.6.0.0.  I can connect to another db on a 32-bit Win 2003 server (Release 11.1.0.6.0.)
