Upgrading from HTMLDB 2.0 & Ora9g to APEX 4.2

Hello, I've stumbled upon something in the dark recesses of my domain which is still needed for historical use, it's a HTMLDB webapp which backs onto an old 9g database, I'd like to upgrade all of this into APEX 4.2... Would it just be a case of exporting\importing the app & restoring the DB into XE? Or is it more complex than that...?
