EBS R12.1.3 - Importing Contract Clauses gives error during sqlldr"second enclosure string not prese

We're trying to import clauses into the Purchasing Contracts module using sqlldr and keep getting an error on the clause paragraph.  Our users have copied the clause from a Word document into a template we provided that is just an Excel spreadsheet.  So the paragraph does contain commas and special characters.  But it has " at the beginning and end and none in the middle.  And yet we get the error:  second enclosure string not present.  How do we get around this?
