What is the use of Manage Proxies in the preferences??

Dear All,
If a system administrator is set on any user through Manage Proxy then is sysadmn is allowed to perform any transaction on that users behalf?

If sysadmn is allowed to do so, than can we see the change from record history that who has made the changes?
