physically different server moved cold backup gives media recovery error

hi all

i had taken cold backup of oracle 10.2.0.2 and was restoring it on 10.2.0.4

all steps worked fine
as i tried to recover database until cancel using backup controlfile
media recovery was sucesful

stil when i open the database using resetlogs it gave me ORA-01092:ORACLE INSTANCE TERMINATED.DISCONECTION
 FORCED


also my alert log says that i need to do a database upgrade
so i started database in startup upgrade
but if database is not opened i cnt run the upgrade script because of this im stuck

can any1 help me??
