upgrade from 11.2.0.2 to 11.2.0.4

I would like to upgrade two nodes rac from 11.2.0.2 to 11.2.0.4.

1. Should I create a new filesystem  in order to create  the new grid(home)/oracle  software directory for out of place upgrade or create a directory on the existing filesystem?  currently oracle and grid are residing in separate directores, but sharing the same ora_inventory location.

2. I highlyt welcome any other upgrade advise/issues, etc...
