EMCC 12c Release 3

Hi,

We are having 11g OEM with 11.2.0.3 database and going for EMCC 12c Release 3.

Is any issues with this apprach ?

1) Clone of exising database to new server.
2) Install 12c on new server using existing database.

What data will come with this approach and can we use that data using 12c interface ?

What is the good approach for 12c, upgrade or fresh Installation ?
