R12.1.3 - Legal Entity setup for Projects

We are creating shell operating units which will be used for just entering the project costs and budgets without sending them to GL. These costs and budgets are used for management reporting purposes. We will use implementation options to not Interface Costs to GL. We are going to create a shell ledger, we want to know if we need to create a shell legal entity as well. We are on R12.1.3.
