Upgrade Oracle 10.2.0.4 EE to Oracle 11.2.0.4 EE on another server

Hello,

We are planning to upgrade our database from 10.2.0.4 64-bit EE on Windows server 2008 to Oracle 11.2.0.4 64-bit EE on another VM server which is Windows Server 2008 R2

Is the following procedure good?

1. Install software   Oracle 11.2.0.4 only on another server

2. create a new windows service on the new server

3. shutdown database on old server

4. copy all database files including log files to new  server

5. update pfile parameters

6..startup mount pfile=XXXX

7.create spfile=XXXX from pfile=XXXX

8. rename database file to new location

9. shutdown

10. startup upgrade

11. alter database open

We usually use EXPDP method to do Oracle upgrade on a new server before and never used the method above. Our database is 20G around.Which method is better?
