What is the best strategy for moving to a new OMS

I currently have my OMS as follows Enterprise Manager 12.1.0.1 on Oracle 11.2.01 32bit on Windows 2008R2.   I am trying what is the least painful way to migrate my agents, hosts, instances etc to a new OMS.  This new OMS would be on Enterprise Manager 12.1.0.4, Oracle 11.2.04 64 bit running on Redhat 6.5.

I believe there are two methods I could use in doing this.  I could take the upgrade route.  Something like below

METHOD 1

Backup current OMS environment

Stop OMS

Install Oracle 11.2.01 64 bit on my new OS  ( I am unsure if this should be 32 bit or 64bit?)

Export data from old OMS import in new OMS
