Upgrading from ODA X3-2 2.7 to 12.1.2.5 and databases 11.2.0.3 to 11.2.0.4

I must upgrade the production bare metal ODA from 2.7 to 12.1.2.5.  I don't have a development ODA so I can't do any testing.  It's a one shot to get it right scenario.  I also need to upgrade my databases from 11.2.0.3.7 to 11.2.0.4.  I can't go to release 12 at this time.  I understand that the upgrade path is 2.7 to 12.1.2.0 to 12.1.2.5.  I've been doing research on other's experiences and suggestions and reading the patch documents.  Questions: 1) Is the GI and database really a rolling upgrade?  I read where downtime includes the GI and database upgrade
