Gi and ASM Upgrade

Our set up is two RAC node cluster running o n11g and also we have GI and ASM installed to managed single  Instance Database and are running on 11g.

We would like to do CRS Upgrade on single instance Database running under GI/ASM.

                 Is it possible to do  out-of-place upgrade to minimize down time...........

                               Install 12GI grid in a separate home and apply latest Patches ...............then when we have maintenance window shutdown all the databases running on the node and run rootupgrade.sh from 12gi HOME to move to 12c GI?. will that work.
