License needed for OEM/RMAN repository on VMWare?

Currently we have a big machine setup for some production databases but the major resource consumer is OEM-binaries and OEM/RMAN-repository. As the machine is fully licensed we want to move OEM to a not licensed machine (as it's free) so we can free up resources for the real prod databases.

As we've got a big VMWare cluster we'd like to create a virtual machine on it to only support OEM and RMAN. As we know there are some licensing constraints to use VMWare in prod (license ALL hardware) I'd like to have confirmed that we can run these 2 things on VM and not have licensing issues... seing that it's free anyway.
