Need advise on Company setup.

We are going to establish 2 companies in a different geography. Company1 is parent and company2 is a subsidiary of Company1. We want to consolidate and publish the financials under Company1 and also Company 1 and company2 should publish their financials separately also. Please suggest what could be the best approach (Org.Structure)?
