Assistance on a Branding File Issue

Getting Error on Branding file - not sure what it wants me to fix.Content
working on some very simple text to display at the top of our internal career center. And when I try to upload the branding zip file to the site Taleo is spitting back:
The template file "index.html" contains the following XHTML errors: javax.xml.transform.TransformerException: XML-22004: (Fatal Error) Error while parsing input XML document (The content of elements must consist of well-formed character data or markup.).
either I am blind or Taleo needs to get with the times... but everything in my html code works fine, renders fine, is closed fine so not sure what It doesn't like. Am I missing something?
